Sarah M. Kostyk is counsel in Shulman Rogers’ Business and Financial Services practice, advising clients throughout the Washington, D.C. region. Her practice reflects a distinctive combination of sophisticated transactional experience and senior in-house counsel service, giving her meaningful insight into the practical business needs and priorities of her clients.

Sarah advises clients on a broad range of corporate matters, including corporate governance, entity formation, mergers and acquisitions, securities compliance, and debt and equity financings. Her transactional experience spans complex public and private deals across diverse industries.

Prior to joining Shulman Rogers, Sarah served as Senior Corporate Counsel at Transurban USA Inc., where she acted as corporate secretary for the company’s newly formed North American joint venture and served as enterprise-wide corporate governance counsel. In that role, she worked closely with the executive leadership team and board of directors to develop a comprehensive governance infrastructure. She also provided counsel on proposed capital transactions, including potential equity issuances, credit facilities, and debt refinancings.

Having advised organizations from the inside, Sarah brings a nuanced understanding of the business pressures and stakeholder dynamics that inform every legal question. She applies that perspective on behalf of clients across the full spectrum of her practice. Sarah has also dedicated time to pro bono service, including work with The Mid-Atlantic Innocence Project and providing legal assistance to small businesses.

Sarah received her J.D. from The George Washington University Law School, where she participated in the Small Business and Community Development Clinic, and her B.A. in Political Science from Christopher Newport University. She is admitted to practice in Pennsylvania and the District of Columbia.
