Marilyn Sonnie works closely with companies on a variety of transactions and legal issues. Bringing 20+ years of Big Law experience and accounting background to every matter, she efficiently and strategically prioritizes her client’s legal challenges based on their specific business goals, saving them time and money.

Marilyn’s responsiveness is a hallmark of her work. She has the skill and patience to sort through what is important. Her clear and constant communication with clients plus her ability to solve problems and overcome issues are key factors in getting the deal done.

Primarily focused on mergers and acquisitions, capitalization and venture capital/angel investor financings, Marilyn represents companies in small to mid-sized deals and in formation and capital raises at early stages of company growth, as well as transactions
and restructurings in the distressed context. She has a depth of experience in complex joint ventures, commercial contracts, corporate governance and general corporate matters. She has significant corporate transactional experience, from negotiating and drafting the letter of intent, reviewing and completing the due diligence process, developing the purchase agreement and related agreements, including earn-outs and other contingent payments, and closing the transaction.

Prior to joining Shulman Rogers, Marilyn was a partner at Jones Day representing private and public companies in M&A, corporate governance and securities law matters. While at Jones Day, she also served as Acting General Counsel at Emulex Corporation, giving her a unique perspective that is valuable to her clients.
