Mr. Roberts' practice focuses on mergers and acquisitions, securities, employment, business planning, tax, and general business and commercial matters, including ESOPs, intellectual property, and government contracts. Merger and acquisition transactions have included representing the purchaser with respect to a $380 million acquisition of a distribution business, and representing the seller with respect to the $23 million sale of consulting and government contracting business. Securities transactions in which Mr. Roberts has been involved have included IPOs and other public offerings as well as venture capital and other private placements. Other business projects have included the preparation of shareholder buy/sell agreements, partnership agreements, and operating agreements for limited liability companies, employment and consulting agreements, as well as stock bonus, option, SAR, and similar compensation plans. Mr. Roberts, who has spoken on the use of ESOPs in business succession planning, is a member of The ESOP Association.
